These Terms of Use ("Terms") govern your access to and use of platformcanna.com (the "Site"), operated by Platform Cannabis Advisors ("PCA," "we," "us"). By using the Site, you agree to these Terms.

1. Informational site — no transactions

This Site is informational and provides no e-commerce functionality. PCA does not sell, offer, or facilitate the sale of cannabis or cannabis products through this Site. The Site describes PCA's real estate, capital, and advisory platform for independent cannabis retail operators in New York. Any licensed cannabis retail activity is conducted by independently owned and licensed operators, not by PCA.

2. Eligibility

This Site is intended for individuals 21 years of age or older.

3. No professional or investment advice

Content on this Site is provided for general informational purposes only and does not constitute legal, financial, tax, or investment advice.

4. No offer of securities or financing

Nothing on this Site constitutes an offer to sell or a solicitation of an offer to buy any security, nor an offer to lend, a commitment to provide financing, or an offer to enter into any lease or sublease. Descriptions of PCA's platform, fee structure, loan program, and real estate arrangements are provided for general informational purposes only, are summaries rather than complete terms, and are subject to change.

Any advisory, financing, or leasing relationship with PCA is established solely through definitive written agreements executed by the parties, and is subject to PCA's diligence, underwriting, and approval. Submitting a form or corresponding with PCA does not create any such relationship.

5. Intellectual property

All content on this Site — including text, graphics, logos, and design — is the property of PCA or its licensors and may not be reproduced without permission.

6. Third-party links

The Site may link to independently owned operator websites or third-party services. PCA is not responsible for the content or practices of those third-party sites.

7. Form submissions

Information submitted through Site forms is used as described in our Privacy Policy. Submitting a form does not create any binding obligation on PCA's part, and does not by itself establish a business or contractual relationship.

8. No warranty

The Site and all content on it are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, PCA disclaims all implied warranties, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement. PCA does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information on it is complete, accurate, or current.

9. Limitation of liability

To the fullest extent permitted by law, PCA and its affiliates, members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your access to or use of the Site, whether based in contract, tort, statute, or any other legal theory, and whether or not PCA has been advised of the possibility of such damages.

PCA's total aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred United States dollars ($100). Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless PCA and its affiliates, members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or connected with your access to or use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

11. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. Continued use of the Site after changes constitutes acceptance of the revised Terms.
